Apex Roofing & Exteriors Ltd (hereinafter known as the Contractor) |

(hereinafter known as the Subcontractor) |
In signing this document the Subcontractor agree as follows:
SECTION 1 – The Work
- Subcontractor shall furnish all necessary labour, supervision, materials, tools and equipment to complete the portion(s) of the Project (hereinafter called the "Work") for the Subcontract Price identified in Section 2 and as detailed in the P.O. (Purchase Order) for this Work.
- Subcontractor will ensure all work is carried out in a proper and professional manner as per the Subcontractor code of conduct.
- Subcontractor agrees to perform work as per the Subcontractor installation guide.
SECTION 2 – Price and Payment
Contractor agrees to pay Subcontractor upon completion of the strict performance of his work as set out in the terms of the P.O. and within the parameters as follow:
- Subcontractor shall submit proper invoices acceptable to the Contractor by 5:00pm on the 15th of the month for payment on the 5th of the month, and on the 30/31st of the month for payment on the 20th of the month following.
- Request for early/non-scheduled payment may be considered but will be subject to a 5% admin fee.
- Payment will not be processed if all required job paper work is not received with the invoice.
- If WCB clearance cannot be obtained payment will not be processed until clearance is made.
- If there is additional work required, the Subcontractor is to inform the Production Manager in a timely manner and provide pictures to support the additional cost to the Contractor up to an amount of $200. Additional cost over $200 will require the written approval of the Contractor.
- Subcontractor agrees that, if the Owner does not pay the Contractor for reasons of the Owner's insolvency or for reasons relating to the non-performance of the Subcontractor the Contractor shall not be obligated to pay the Subcontractor the associated payment. In the instance that the Sub Contractor is removed from a project for violating the terms in this contract, payment to the Subcontractor will be made for the portion completed, less any costs incurred to the Contractor.
- Subcontractor shall indemnify, hold harmless and defend the Contractor from and against any and all costs, expenses (including reasonable counsel fees), liabilities, losses, damages, suits, actions, fines, penalties, claims or demands of any kind and asserted by or on behalf of any person or government authority, arising out of or in any way connected with the work performed by Subcontractor and for which the Contractor might in any way be held responsible.

SECTION 3 – Insurance and/or Surety Bonds
Subcontractor agrees to provide and furnish all insurance coverage relating to Subcontractor's portion of the Work. The coverage shall include, but is not limited to, WCB, general liability and automobile insurance.
Evidence of such insurance is to be furnished to the Contractor when application is submitted and thereafter, once a year.
Further, Subcontractor will ensure that all necessary insurance and licensing is valid prior to using/hauling any Apex Roofing & Exteriors Ltd vehicles and equipment. The Subcontractor must ensure proper visual inspections have been completed prior to use and will assume responsibility for issues arising through negligence of care and/or inspection.

Further, Subcontractor will ensure that all necessary insurance and licensing is valid prior to using/hauling any Apex Roofing & Exteriors Ltd vehicles and equipment. SECTION 4 – Entire Agreement
This Agreement represents the entire agreement between Contractor and Subcontractor and supersedes any prior written or oral representations. Subcontractor, its employees, suppliers and/or materialmen are bound to Contractor by the prime contract and any contract documents incorporated therein to the same extent as Contractor is bound to Owner in so far as they relate in any way, directly or indirectly, to the work covered by this agreement.
SECTION 5 – Commencement and Schedule
Subcontractor agrees to start performance of the awarded Work within a reasonable length of time after notification by the Contractor and will schedule its requirements to carry on and complete the Work in accordance with the Contractor's schedule. The Contractor may amend this schedule from time to time so as not to interfere with or delay the work of the Contractor or any other Subcontractor. The order and schedule of the Work will be determined by the Contractor at the sole discretion of the Contractor in consultation with the Subcontractor. Notwithstanding any such consultation, the Contractor's determination of schedule for the Work shall be binding upon the subcontractor.
If the Subcontractor fails to perform in accordance with the Contractor's schedule and by any reason thereof the Contractor becomes liable for damages or additional costs because of non-performance of the Subcontractor, the Subcontractor shall become responsible for payment to the Contractor of a proportionate share of damages or losses incurred.

SECTION 6 – Inspection and Warranty
- Subcontractor agrees to make the work accessible at all reasonable times for inspection by the Contractor.
- Subcontractor shall be responsible for the inspection of all material and equipment related to the Work and will give prompt notice of any defect therein.
- Subcontractor shall warrant all work performed by the Subcontractor for one (1) year from the date of completion of the project. Subcontractor shall satisfactorily remedy any and all deficiencies or problems within three (3) days of written notice from the Contractor.
SECTION 7 – Policies
Subcontractor shall abide by the Safety Policy and Subcontractor Policy that has been read and signed simultaneously with this Agreement.
