These Terms of Service ("Terms") constitute a legally binding agreement between NEXORA Technologies Inc. ("NEXORA", "we", "us", or "our"), a corporation registered in the Province of Alberta, Canada, and the business entity or individual ("Customer", "you", or "your") subscribing to or utilizing SummitOS (the "Service"). By creating an account, completing checkout, or accessing SummitOS, you agree to be bound by these Terms.
SummitOS is a multi-tenant cloud-based operations, estimating, and contractor intelligence platform. Capabilities include material price catalog ingestion, dynamic price recalculation, purchase order management, estimate generation, job tracking, and operational telemetry.
To access SummitOS, you must provision an organization workspace and establish administrator credentials. You agree to: (a) provide accurate and complete business information; (b) maintain the security and confidentiality of your credentials; and (c) accept responsibility for all activities conducted under your organization's tenant workspace.
SummitOS is provided on a subscription basis under the following commercial tiers:
Automatic Renewal: Subscriptions automatically renew at the conclusion of each billing cycle (monthly or annual) unless canceled prior to the renewal date. Payments are billed in Canadian Dollars (CAD) and processed securely via Stripe.
Self-serve Core and Pro subscriptions do not require mandatory onboarding fees. Customers may optionally purchase a Guided Onboarding Package ($1,000 CAD) for Core or a Pro Onboarding Package ($2,500 CAD) for Pro. Professional services are billed separately and are non-refundable once service delivery commences.
All displayed subscription prices are tax-exclusive. Applicable Canadian federal and provincial sales taxes (GST, HST, PST, QST) will be calculated and added at checkout based on your organization's billing address.
You may cancel your subscription at any time through the self-serve Stripe Customer Portal located in your workspace Settings. Upon cancellation, your workspace remains fully operational through the conclusion of your paid billing period. After period expiration, your workspace transitions to a read-only archive state.
Except where required by Canadian consumer protection law, subscription fees are non-refundable for partial or elapsed billing intervals. We do not provide prorated refunds upon mid-cycle cancellation.
Your Data: You retain full and exclusive ownership of all customer records, job files, estimate data, and proprietary supplier price sheets uploaded to your workspace.
Our IP: SummitOS, including its codebase, user interfaces, algorithms, and design system, is the exclusive intellectual property of NEXORA Technologies Inc.
You agree not to: (a) reverse engineer, decompile, or extract the source code of SummitOS; (b) probe, scan, or attempt to breach our multi-tenant Row-Level Security (RLS) barriers; (c) use the Service for any unlawful or fraudulent purpose; or (d) resell or distribute access to third parties without prior written consent from NEXORA.
To the maximum extent permitted by applicable Alberta and Canadian federal law, NEXORA Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising out of or related to your use of SummitOS. In no event shall NEXORA's total aggregate liability exceed the total subscription fees paid by you in the twelve (12) months preceding the claim.
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action arising from these Terms shall be instituted exclusively in the courts located in Calgary, Alberta, Canada.
